By using our services, you agree to be legally bound by these Terms. If you do not agree, do not use our services.
1. Agreement to Terms
These Terms constitute a legally binding contract between you and NexaCrest International Private Limited. By accessing our website or using our services, you accept these Terms in their entirety.
2. Services "As Is"
ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We make no guarantees regarding:
- Service availability or uninterrupted access
- Specific timelines or delivery dates
- Customs clearance approval or timing
- Business outcomes or results
3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXACREST SHALL NOT BE LIABLE FOR:
- Indirect, consequential, special, or punitive damages
- Loss of profits, revenues, or business opportunities
- Loss of data or goodwill
Our total liability is capped at the lesser of: (a) fees paid by you, OR (b) INR 100,000.
4. Client Obligations
You must:
- Provide accurate, complete information
- Pay all invoices within agreed terms
- Comply with all applicable laws
- Respond promptly to communications
You are liable for losses resulting from inaccurate information you provide.
5. Payment Terms
All fees must be paid within agreed terms (typically NET 15-30 days). Late payments incur 18% annual interest. We reserve lien rights over all goods and documents for unpaid amounts.
Service fees are generally non-refundable once services commence.
6. Indemnification
YOU AGREE TO INDEMNIFY NEXACREST FROM ALL CLAIMS ARISING FROM:
- Your breach of these Terms
- Your products or business activities
- Inaccurate information you provide
- Your violation of any laws or regulations
7. Force Majeure
We are not liable for delays due to circumstances beyond our control including natural disasters, government actions, strikes, port closures, carrier failures, or technology disruptions.
8. Intellectual Property
All IP rights in our services, website, and materials remain our exclusive property. You receive only a limited license for your internal use. You may not reproduce, modify, or distribute our materials.
9. Termination
We may terminate services immediately if you breach these Terms or fail to pay. Upon termination, you must pay all outstanding amounts. We may withhold deliverables until payment.
10. Governing Law and Disputes
These Terms are governed by Indian law. You submit to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India.
Claims must be filed within ONE (1) YEAR from the cause of action. No class actions permitted.
The prevailing party recovers all legal fees and costs.
11. Amendments
We may modify these Terms at any time. Changes are effective immediately upon posting. Continued use after changes constitutes acceptance.
12. General Provisions
Assignment: You may not assign these Terms without our consent. We may freely assign.
Entire Agreement: These Terms constitute the entire agreement between parties.
Severability: Invalid provisions are modified to minimum extent necessary.
